[MAY 10, 2005]  Letter by SYSCO Chairman Richard J. Schnieders:

Schneiders

Corporate governance has generated a significant amount of debate, legislation and regulation. We at SYSCO believe that the underlying principle for proper corporate governance is a simple one -- "Do the right thing." Ever since John Baugh founded our company over 30 years ago, we have dedicated ourselves to operating our company with strict adherence to the highest ethical standards. This we will continue to do.

Our business is built upon quality relationships -- with our customers, our suppliers, our communities and, of course, our shareholders. Relationships require a strong foundation of mutual trust and understanding that is nurtured day after day, week after week and year after year. That trust is earned not just by adhering to the letter of the law, but also by acting within the spirit of the law.

Our fundamental governance documents embody the way SYSCO conducts business on behalf of its shareholders, customers, suppliers and associates and the communities in which we work. We have attempted to touch upon the areas of most concern to people who have a stake in or do business with SYSCO, as exemplified by our Code of Business Conduct. No set of documents can completely cover all situations. For those situations not specifically included in these documents, you have our pledge that SYSCO and its associates will continue to endeavor to do the right thing.

See www.sysco.com for more information about the company.
