Surveyed Acreage Supersedes Deed Acreage The property being
sold at auction consists of two parcels identified by the Logan
County Parcel Identification Numbers: • 10-001-001-00 •
06-006-005-50 While the deed historically references total
acreage based on legal descriptions, the Seller has obtained a
boundary survey for the farm which shall govern the actual
acreage sold. Any reference to acreage in the deed or title
shall be considered nominal and for descriptive purposes only.
The purchase price shall be calculated and paid based on the
surveyed acres disclosed in the auction terms.
2. Existing Cellular Tower Lease and ROFR (Right of First
Refusal) Both parcels are subject to an existing ground lease
with SBA Towers (formerly Verizon Wireless) dated July 19, 2010,
as amended. The lease affects a portion of the property commonly
referred to as the “Premises” (.23 acres more or less), but the
Right of First Refusal (ROFR) granted under the lease applies to
the entire tract, including both of the abovedescribed
parcels. Buyers are advised that the lease and ROFR will be
disclosed to SBA immediately after the conclusion of the
auction. SBA will have 30 days from the date of notice to
exercise its ROFR as to the entire property.
3. Closing Timeline Adjusted for ROFR Process Closing shall
occur on or before December 15, 2025.
4. Contract Structure and Legal Description Two separate real
estate sale contracts will be executed: • One for Parcel
10-001-001-00 • One for Parcel 06-006-005-50 The property was
marketed and auctioned as two tracts and will be based on the
surveyed acres.
5. Tower Lease Assignment The cellular tower lease shall be
assigned to the Buyer at closing. All rights to rental income
and obligations under the lease will transfer with the property.
Buyer assumes all post-closing responsibilities relating to the
lease, including but not limited to compliance with any notice
requirements under the lease or amendments. 6. Title and
Encumbrances The property will be conveyed subject to the
existing lease and easements of record. A copy of the title
commitment, survey, and tower lease documents will be provided
in the auction due diligence packet.
Auction Terms: Buyer(s) to enter into a written Purchase
Agreement on the day of the Auction requiring 10% down payment
with the balance due at closing. Closing will be on or before
December 15, 2025. The final purchase price will be determined
by multiplying the highest successful bid by: Tract One 63.98
acres, Tract Two 15.99 acres. The Seller has paid the 2024 real
estate taxes due in 2025 and will allow the Buyer(s) a credit at
closing for the 2025 real estate taxes due in 2026. Buyers will
pay subsequent years’ real estate taxes. The sale of this land
is not subject to the ability of the buyer(s) to obtain
